Sila Realty Trust, Inc. (the "REIT', "we", or "us") values your privacy. This Privacy Policy ("Policy") addresses how we collect, maintain, and disclose the information we collect from you. We collect Personal Information (defined below) about REIT clients such as you, from the following sources:

We use the information we collect about you and your account to help us better serve your investment needs, to respond to your inquiries, fulfill your requests, personalize your experience on our website, suggest services or educational materials that may be of interest to you, and for our internal business purposes (e.g., data analysis, audits, fraud monitoring and prevention, developing new products)

We may request that you provide us with your Social Security number in order to provide you with our services and facilitate any of your requests with respect to our investment programs and products We only use and disclose such information to facilitate your requests, prevent fraud or other harm, and to comply with legal, audit, insurance and other similar requirements, and otherwise in accordance with applicable law. We take the confidentiality of this information very seriously (see also Confidentiality and Security above) and have policies in place to limit access to such information on a need-to know basis. We also have policies, processes and agreements in place to require that our employees and service providers treat such information accordingly.

CHILDREN'S ONLINE PRIVACY

We do not knowingly request or solicit any Personal Information from anyone under the age of 13 on or through the Website. If you are a minor child, please do not provide us with any personal information. If you are the parent or legal guardian of a child that you believe has provided us with such Personal Information online, please contact us immediately to have such information deleted from our system.

DO NOT TRACK

NEITHER THE ATTORNEY GENERAL OF THE STATE OF NEW YORK NOR ANY OTHER STATE HAS PASSED ON OR ENDORSED THE MERITS OF ANY OFFERING OF THE AFFILIATE FUNDS. ANY REPRESENTATION TO THE CONTRARY IS UNLAWFUL.

TERMINATION

You agree that the REIT Entities shall not be liable to you or any third party for termination of these Terms and Conditions and/or of your access to the Website. Should you object to any terms or conditions of these Terms and Conditions or any subsequent modifications to these Terms and Conditions or become dissatisfied with the Website or any part of the Website in any way, your sole and exclusive remedy is to immediately: (1) terminate your use of the Website; and (2) notify the REIT in writing of your termination of your agreement to these Terms and Conditions. Upon termination of these Terms and Conditions, or otherwise upon notice or action by the REIT, your license rights to the Website immediately cease.

ARBITRATION

YOU AND THE REIT ARE AGREEING TO GIVE UP ANY RIGHTS TO LITIGATE CLAIMS IN A COURT OR BEFORE A JURY, OR TO PARTICIPATE IN A CLASS ACTION OR REPRESENTATIVE ACTION WITH RESPECT TO A CLAIM. OTHER RIGHTS THAT YOU WOULD HAVE IF YOU WENT TO COURT MAY ALSO BE UNAVAILABLE OR MAY BE LIMITED IN ARBITRATION.

ANY CLAIM, DISPUTE, OR CONTROVERSY (WHETHER IN CONTRACT, TORT, OR OTHERWISE, WHETHER PRE- EXISTING, PRESENT, OR FUTURE, AND INCLUDING STATUTORY, CONSUMER PROTECTION, COMMON LAW, INTENTIONAL TORT, INJUNCTIVE, AND EQUITABLE CLAIMS) BETWEEN YOU AND THE REIT OR ANY OF THE OTHER REIT ENTITIES ARISING FROM OR RELATING IN ANY WAY TO YOUR USE OF THE WEBSITE (INCLUDING WITHOUT LIMITATION THE CONTENT), WILL BE RESOLVED EXCLUSIVELY AND FINALLY BY BINDING ARBITRATION.

Accordingly, you agree with the REIT that any dispute arising in connection with these Terms and Conditions or the performance of any party under these Terms and Conditions or otherwise relating to these Terms and Conditions shall be referred to binding arbitration via the Financial Industry Regulatory Authority, Inc. (“FINRA”) arbitration process then in effect, except as modified by these Terms and Conditions. Arbitration uses a neutral arbitrator instead of a judge or jury, allows for more limited discovery than in court, and is subject to very limited review by courts. Arbitrators can award the same damages and relief that a court can award. The arbitrator will have exclusive authority to resolve any dispute relating to arbitrability and/or enforceability of this arbitration provision, including any unconscionability challenge or any other challenge that the arbitration provision or the agreement is void, voidable, or otherwise invalid. The arbitrator will be empowered to grant whatever relief would be available in court under law or in equity. The arbitration shall be binding, final, not appealable, enforceable, and in lieu of any right to sue or seek other arbitration in any court or tribunal. Notwithstanding the foregoing, either you or any of the REIT Entities shall be entitled to apply to any

court of competent jurisdiction for a temporary restraining order, preliminary injunction, permanent injunction, or other equitable relief, without breach of this arbitration provision.

This arbitration clause shall survive any termination of these Terms and Conditions. If this specific provision is found to be unenforceable, then (i) the entirety of this arbitration provision shall be null and void, but the remaining provisions of these Terms and Conditions shall remain in full force and effect; and (ii) exclusive jurisdiction and venue for any claims will be as set forth below.

EQUITABLE RELIEF

You acknowledge that any use or threatened use of the Website or Content in a manner inconsistent with these Terms and Conditions shall cause immediate irreparable harm to the REIT and/or the other REIT Entities for which there is no adequate remedy at law. Accordingly, you acknowledge and agree that the REIT and the other REIT Entities shall be entitled to immediate and permanent injunctive relief from a court of competent jurisdiction in the event of any such breach or threatened breach by you. You agree and stipulate that the REIT and the REIT Entities shall be entitled to such injunctive relief without posting a bond or other security; provided however that if the posting of a bond is a prerequisite to obtaining injunctive relief, then a bond in the amount of One Thousand Dollars (US $1,000) shall be sufficient. Nothing contained herein shall limit the right of the REIT or any other REIT Entities to any remedies at law, including without limitation the recovery of damages from you for breach of these Terms and Conditions, as applicable.

ASSIGNMENT

YOU WILL NOT ASSIGN, INCLUDING WITHOUT LIMITATION BY OPERATION OF LAW, CHANGE OF CONTROL, OR OTHERWISE, YOUR RIGHTS OR LICENSES TO THE WEBSITE PROVIDED UNDER THESE TERMS AND CONDITIONS, EITHER IN WHOLE OR IN PART WITHOUT THE PRIOR WRITTEN CONSENT OF THE REIT. (Arbitration), you and the REIT agree to submit to the non-exclusive jurisdiction of the courts located within the state of Florida, provided that any lawsuits or other claims brought by you must be brought exclusively within the state of Florida. You hereby consent and submit to the exclusive in personam jurisdiction of such courts, waive any objection based on forum non conveniens and waive any objection to venue of any action instituted hereunder to the extent that an action is brought in the courts identified above. The failure of the REIT to exercise or enforce any right or provision of these Terms and Conditions shall not constitute a waiver of such right or provision. If any provision of these Terms and Conditions is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms and Conditions remain in full force and effect. The section titles in these Terms and Conditions are for convenience only and have no legal or contractual effect.
